1. Acceptance of Terms

By accessing or using CliniqPilot ("the Service"), operated by CliniqPilot ("we", "our", or "us"), you agree to be bound by these Terms of Service. If you are using the Service on behalf of a clinic or organization, you represent that you have the authority to bind that entity to these terms.

If you do not agree to these terms, you must not use the Service.

2. Description of Service

CliniqPilot is a cloud-based clinic management platform that provides:

  • Patient records management and case documentation
  • Appointment scheduling and calendar management
  • Billing, invoicing, and payment tracking
  • Prescription management and drug/lab test catalogs
  • Clinical templates and field-based case forms
  • Team management with role-based access control
  • AI-powered copilot assistant (optional add-on)
  • Data export and migration tools

3. Account Registration

3.1 Eligibility

CliniqPilot is intended for use by licensed healthcare professionals and authorized clinic staff. By registering, you confirm that:

  • You are at least 18 years of age
  • You are authorized to use the Service for your clinic's operations
  • The information you provide during registration is accurate and complete

3.2 Account Security

  • You are responsible for maintaining the confidentiality of your login credentials
  • You must notify us immediately of any unauthorized access to your account
  • You are responsible for all activities that occur under your account
  • We recommend using strong, unique passwords and not sharing login credentials

3.3 Onboarding

All clinic accounts are set up through our onboarding team. Self-registration for new clinics is not available. Individual team member accounts are created by the clinic owner within the application.

4. Subscription Plans & Billing

4.1 Plans

CliniqPilot offers multiple subscription tiers (Free, Starter, Professional, Enterprise) with varying features and usage limits. Plan details, pricing, and feature comparisons are available on our Pricing page.

4.2 Billing

  • Paid plans are billed monthly or annually, as selected at the time of subscription
  • All prices are listed in Indian Rupees (INR) unless otherwise stated
  • Subscriptions renew automatically unless cancelled before the renewal date
  • We reserve the right to change pricing with 30 days' prior notice to existing subscribers

4.3 Usage Limits

Each plan includes defined quotas (e.g., maximum patients, cases per month, team members, storage). Exceeding these limits may require an upgrade to a higher plan. We will notify you when you approach your limits.

4.4 Refunds

Refund terms are governed by our Refund Policy.

5. Acceptable Use

You agree to use CliniqPilot only for lawful purposes and in accordance with these terms. You must not:

  • Use the Service for any illegal or unauthorized purpose
  • Upload malicious code, viruses, or harmful content
  • Attempt to gain unauthorized access to other users' accounts or data
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Use the Service to store or transmit content that violates any applicable law
  • Resell, sublicense, or redistribute the Service without our written permission
  • Use automated scripts or bots to access the Service (except through our documented API)
  • Interfere with or disrupt the Service's infrastructure or other users' access

6. Data Ownership & Responsibility

6.1 Your Data

You retain full ownership of all data you enter into CliniqPilot, including patient records, clinical notes, billing information, and media files. We do not claim any ownership rights over your data.

6.2 Data Accuracy

You are solely responsible for the accuracy, completeness, and legality of all data entered into the Service. CliniqPilot is a tool to assist clinic operations — it does not replace professional medical judgment.

6.3 Patient Consent

You are responsible for obtaining appropriate consent from patients before entering their personal and medical data into CliniqPilot, in accordance with applicable laws and regulations.

6.4 Data Portability

You can export your data at any time using the Export Center feature, available on all subscription plans (including Free). Supported export formats include CSV and structured data files.

7. Privacy & Data Protection

Your use of CliniqPilot is also governed by our Privacy Policy, which describes how we collect, use, store, and protect your data. By using the Service, you consent to our data practices as described in the Privacy Policy.

8. AI Copilot Feature

The CliniqPilot AI Copilot is an optional feature that provides:

  • Smart form filling and clinical suggestions
  • Natural language queries over your clinic data
  • Voice-to-text dictation for clinical notes

By enabling the AI Copilot:

  • You acknowledge that AI-generated suggestions are assistive and must be reviewed by a qualified professional before use in clinical decisions
  • Anonymized prompts may be processed by third-party AI providers (see our Privacy Policy for details)
  • AI features are subject to separate usage limits and billing as described in the AI add-on terms

9. Intellectual Property

9.1 Our IP

CliniqPilot, including its software, design, logos, templates, documentation, and all related intellectual property, is owned by CliniqPilot and protected by applicable copyright, trademark, and intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable license to use the Service.

9.2 Feedback

If you provide suggestions, feature requests, or feedback about the Service, you grant us the right to use such feedback without restriction or compensation to improve the Service.

10. Service Availability

  • We strive to maintain 99.9% uptime but do not guarantee uninterrupted access
  • Scheduled maintenance windows will be communicated in advance when possible
  • We are not liable for downtime caused by factors beyond our reasonable control (internet outages, hosting provider issues, force majeure events)

11. Limitation of Liability

To the maximum extent permitted by applicable law:

  • CliniqPilot is provided "as is" and "as available" without warranties of any kind, express or implied
  • We do not warrant that the Service will be error-free, secure, or meet your specific requirements
  • We are not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service
  • Our total liability for any claim related to the Service shall not exceed the amount you paid us in the 12 months preceding the claim
  • We are not liable for any clinical decisions made based on data or suggestions provided through the Service

12. Indemnification

You agree to indemnify and hold CliniqPilot harmless from any claims, damages, losses, or expenses (including legal fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Data entered into the Service by you or your team members

13. Account Suspension & Termination

13.1 By You

You may cancel your subscription at any time. Upon cancellation, you will retain access until the end of the current billing period, after which your account will be downgraded to the Free plan.

13.2 By Us

We may suspend or terminate your account if:

  • You violate these Terms of Service
  • Your account is used for fraudulent or illegal activity
  • Payment fails and remains unresolved after 15 days' notice
  • Required by law or regulation

In the event of termination, we will provide reasonable notice and an opportunity to export your data, except in cases of egregious violations.

14. Modifications to the Service

We may modify, update, or discontinue features of the Service at any time. For significant changes that materially affect your use:

  • We will provide at least 30 days' notice via email
  • If the change is unacceptable, you may cancel your subscription and request a pro-rated refund for the unused portion of your billing period

15. Governing Law & Disputes

  • These Terms are governed by the laws of India
  • Any disputes shall be subject to the exclusive jurisdiction of the courts in India
  • Before pursuing formal legal action, both parties agree to attempt resolution through good-faith negotiation for a period of 30 days

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will continue in full force and effect.

17. Entire Agreement

These Terms of Service, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and CliniqPilot regarding the use of the Service.
